Terms of Service
Effective: April 29, 2026
These Terms of Service ("Terms") govern your use of the services provided by Atolio ("we", "us", "our"), operated by Arata Horie. By purchasing our service or installing our Shopify application, you agree to be bound by these Terms. If you do not agree, please do not use our service.
1. Service Description
Atolio provides Shopify store optimization services consisting of:
- Initial Build (one-time): Setup and customization of your Shopify storefront based on the package you select (Starter or Growth)
- Continuous Optimization (subscription): Weekly automated diagnostics, prioritized improvement recommendations, and human-implemented changes to your Shopify store
- Diagnostic Dashboard: An embedded Shopify application that displays your store's optimization scores, completed improvements, and historical trends
2. Eligibility
You must be at least 18 years old and the authorized operator of the Shopify store you wish to use the service for. By accepting these Terms, you represent that you have the legal authority to enter into this agreement on behalf of yourself or your business.
3. Account and Access
To use our service, you must:
- Have an active Shopify store
- Install our Shopify application using the custom installation link we provide
- Grant us the access permissions required for our service to function
- Provide accurate and complete information during onboarding
- Maintain the confidentiality of any access credentials we may provide
4. Pricing and Payment
4.1 Pricing
- Starter Build: US$599 one-time + US$149/month subscription
- Growth Build: US$1,599 one-time + US$149/month subscription
All prices are inclusive of applicable taxes.
4.2 Payment Terms
- One-time setup fees are charged in full at the time of purchase
- Monthly subscription fees are automatically charged every 30 days from the contract start date
- All payments are processed by Stripe and subject to Stripe's terms
- You authorize us to charge the payment method you provide for all fees due
4.3 Failed Payments
If a payment fails, we will attempt to retry the payment. If payment cannot be collected within 14 days, we may suspend the service. Continued service requires the resolution of any outstanding payment.
5. Service Delivery
5.1 Initial Build
We will complete the initial build within 14 business days of contract acceptance, contingent upon your timely provision of access permissions, brand materials, content, and feedback. Delays in your responses may extend the delivery timeline.
5.2 Continuous Optimization
The continuous optimization service begins on the contract start date and includes:
- Daily automated scans of your store
- Weekly review and prioritization of improvement opportunities
- Implementation of selected improvements (typically 2-3 changes per week)
- Weekly progress reports
- Monthly review calls (Growth tier only)
6. Customer Responsibilities
You agree to:
- Provide accurate and complete information about your business and store
- Grant and maintain the access permissions required for our service
- Notify us in advance of major changes to your store (rebrands, theme changes, product line updates)
- Not interfere with our optimization work in ways that may cause conflicts (e.g., simultaneous edits during our work hours)
- Comply with Shopify's terms of service and all applicable laws regarding your store
7. Intellectual Property
7.1 Your Content
You retain all rights to your store content, brand assets, products, and customer data. You grant us a limited license to access and modify your store solely for the purpose of providing the service.
7.2 Our Tools and Methods
We retain all rights to our diagnostic tool, internal scoring methodology, AI prompts, and proprietary processes. Improvements implemented on your store become part of your store and are owned by you, but the methodology behind them remains our intellectual property.
7.3 Aggregate and Anonymized Data
We may use aggregate, anonymized data from our service operations to improve our diagnostic accuracy and benchmark capabilities. This data is stripped of any information that could identify you or your store.
8. Service Limitations and Disclaimers
No guarantee of business results. We do not guarantee specific increases in conversion rate, traffic, revenue, or any other business metric. The effectiveness of optimizations depends on factors outside our control, including your products, pricing, marketing, market conditions, and customer behavior.
Service quality. While we strive for high diagnostic accuracy and implementation quality, our AI-based diagnostics may produce occasional false positives or miss subtle issues. Human review is part of our process to mitigate this.
Third-party dependencies. Our service depends on Shopify, Stripe, Anthropic, Fly.io, and other third-party services. Disruptions to these providers may temporarily affect our service.
9. Cancellation and Termination
9.1 Cancellation by Customer
You may cancel your monthly subscription at any time by emailing us at info@atolio-plus.com. Cancellation takes effect at the end of the current billing period. No prorated refund will be provided for the unused portion of the current period.
One-time setup fees are non-refundable once the initial build work has commenced.
9.2 Termination by Us
We may suspend or terminate your access to the service if you:
- Fail to pay fees when due
- Breach these Terms in a material way
- Use the service in a manner that violates law or harms us or other parties
- Engage in abusive behavior toward our staff
9.3 Effect of Termination
Upon termination, our access to your store will be revoked. We will retain your data for up to 12 months in accordance with our Privacy Policy, after which it will be permanently deleted unless retention is required by law.
10. Refunds
Atolio is a service-based offering. Refunds are not provided once service has commenced, except in cases of material non-performance attributable to us. In such cases, we will discuss appropriate remedies in good faith.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability for any claim arising from or relating to the service is limited to the amount you paid us in the 3 months preceding the claim
- We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or business interruption
- We are not liable for damages caused by third-party services, customer actions, or events outside our reasonable control
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your violation of applicable law
- Content or products on your store that infringe third-party rights or violate law
13. Confidentiality
We will keep confidential any non-public information about your business that we access during the course of providing the service. We will not share this information with third parties except as necessary to provide the service or as required by law.
14. Changes to Service or Terms
We may modify the service or these Terms from time to time. Material changes to the Terms will be notified to active customers via email at least 30 days before taking effect. Continued use of the service after the effective date constitutes acceptance of the modified Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Japan, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms or the service will be resolved as follows:
- Both parties will first attempt to resolve disputes through good-faith negotiation
- If negotiation fails, disputes will be subject to the exclusive jurisdiction of the Yokohama District Court in Japan
16. Miscellaneous
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect
- No waiver: Our failure to enforce any right does not waive that right
- Entire agreement: These Terms, together with our Privacy Policy and Legal Notice, constitute the entire agreement between you and us
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
